Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the access to and use of the software-as-a-service platform River (the “Platform”) and associated services (collectively, the “Services”), provided by Two Spoon Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 56/29, 4th Cross, Subramanyapura Main Road, Chikkalasandra, Bengaluru, Karnataka – 560061, India (“Company,” “we,” “our,” or “us”).


By creating an account, subscribing to, or otherwise using the Services, you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.


2. Eligibility

You represent and warrant that you (a) are at least 18 years of age or the legal age of majority in your jurisdiction, (b) have full legal authority to enter into these Terms, and (c) are not barred from using the Services under applicable laws.


3. Accounts

You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. We shall not be liable for any loss or damage arising from your failure to secure your account.


4. Subscriptions, Fees, and Payment

  • Fees: Subscription and usage fees are payable in accordance with the applicable plan, order form, or invoice.

  • Payment Terms: Unless otherwise stated, fees are due in advance, non-cancellable, and non-refundable.

  • Taxes: Fees are exclusive of taxes, which are your responsibility.

  • Late Payments: Overdue amounts may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

  • Changes: We may change pricing or plans upon reasonable prior notice; continued use after such changes constitutes acceptance.


5. Cancellation and Termination

  • By You: You may cancel your subscription at any time. Cancellation will stop future renewals, but no refunds shall be issued for prior payments.

  • By Us: We may suspend or terminate your access (a) for breach of these Terms, (b) non-payment, (c) suspected misuse, or (d) to comply with law.

  • Effect: Upon termination, all rights granted to you will cease, and we may delete your data after a reasonable retention period, unless required by law.


6. Acceptable Use

You agree not to:

  • Copy, modify, reverse-engineer, or create derivative works of the Services;

  • Use the Services to build a competing product;

  • Interfere with or disrupt the Services or underlying infrastructure;

  • Violate applicable laws, regulations, or third-party rights;

  • Upload or transmit harmful code, spam, or unlawful content.

We may suspend access if your use threatens the security, stability, or integrity of the Services.


7. Intellectual Property

  • Our IP: All rights, title, and interest in the Services, software, and documentation remain exclusively with us or our licensors. No rights are granted except as expressly stated herein.

  • Your Data: You retain ownership of all data you input (“Customer Data”). You grant us a limited, worldwide, royalty-free license to process such data solely to provide the Services.

  • Feedback: Any feedback you provide may be freely used by us without obligation or restriction.


8. Confidentiality

Each party agrees to protect the other’s confidential information and not disclose it except as required by law or to fulfill obligations under these Terms.


9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
We expressly disclaim all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, non-infringement;

  • Availability, error-free or uninterrupted operation;

  • Accuracy, reliability, or completeness of data or outputs.

Your use of the Services is at your sole risk.


10. Limitation of Liability

To the maximum extent permitted by law:

  • Our aggregate liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.

  • We shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

  • The limitations herein apply notwithstanding any failure of essential purpose of any limited remedy.


11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from (a) your use of the Services, (b) your breach of these Terms, or (c) infringement or violation of third-party rights.


12. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles.

  • Jurisdiction: The courts located in Bengaluru, Karnataka shall have exclusive jurisdiction.

  • Dispute Resolution: Parties shall first attempt good faith negotiations. If unresolved, disputes shall be subject to binding arbitration or court jurisdiction as applicable.


13. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement.

  • Amendments: We may update these Terms by posting a revised version. Continued use constitutes acceptance.

  • Assignment: You may not assign these Terms without our consent; we may assign freely.

  • Force Majeure: We are not liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, internet outages, labor disputes).

  • Severability: If any provision is held invalid, the remainder shall remain enforceable.

  • No Waiver: Failure to enforce rights shall not constitute a waiver.
